Memorandum of Understanding & Platform Terms

This agreement governs the platform commission arrangement between Epic Infocus and its registered EI Partners. Please read all sections carefully before signing.

EI and EI Partner are collectively referred to as the "Parties".

2 Purpose & Nature of Arrangement
2.1EI operates a technology platform (Epic Infocus App) for listing services, taking bookings, and routing booking details.
2.2The EI Partner is an independent service provider who shall execute and deliver all booked services to clients.
2.3This is a platform commission arrangement only — not employment, partnership, franchise, or joint venture.
3 Definitions
  • Client — Any customer booking services through EI's platform, links, or systems.
  • Booking — Confirmed order recorded on EI platform (with payment status).
  • Services / Deliverables — Photography/videography output, raw/edited data, albums/prints (if offered by Partner), and any other promised output to the Client.
  • Platform Fee / Commission — EI's fee for providing the platform and booking support.
4 Scope of Responsibilities
Epic Infocus (Platform Only)
  • Provide access to the Epic Infocus App/platform for listing and booking operations
  • Share confirmed booking details with Partner
  • Collect payments from Clients through approved payment channels
  • Deduct Platform Commission (20%) and settle balance per payout terms
  • Maintain basic booking records and payment logs for settlement transparency
EI is NOT responsible for: shoot execution, staffing, creative direction, props/costumes, studio hygiene, travel, client handling, editing, delivery timelines, revisions, refunds caused by Partner, or any on-ground operations — unless explicitly agreed in writing.
EI Partner (Full Operations)
  • Shoot execution (studio/home/outdoor/event, as applicable)
  • All manpower, equipment, props, gowns, safety & hygiene
  • Client coordination, scheduling, punctuality, shoot experience, and fulfilment of promised inclusions
  • Timely delivery of raw/edited and all promised deliverables as per committed timelines
  • Handling complaints, revisions, reshoots, and disputes until client closure
  • Compliance with all applicable laws (tax, labour, safety, consumer rules, etc.)
5 Packages, Pricing & Listing Rules
5.1Packages must be created and provided by the EI Partner including inclusions, timelines, terms & conditions, and final prices.
5.2Partner must share packages in writing (WhatsApp/email/template) to EI for platform listing.
5.3Only EI will input/list packages on the platform. Partner shall not claim a package is "on EI platform" unless it is actually listed by EI.
5.4Partner is fully responsible to honour all package inclusions, deliverables, timelines, and quality promised to the Client.
6 Commission, Revenue Share & Payment Cycle

6.1 Revenue Split (Net of taxes where applicable as per GST clause below):

6.2Payout Condition: Settlement will be released only after 100% booking amount is received from Client. No advance payouts.
6.3Payout Cycle: Weekly / periodic settlements as decided by EI operationally (recommended: weekly), subject to invoice/records verification.
6.4Permitted Deductions before payout: Payment gateway charges, chargebacks, refunds, penalties, or client compensations attributable to Partner.
7 GST & Tax Rules

7.1 GST Structure

(a)Partner GST Registered (Regular): If Partner issues a valid GST invoice, settlement shall be computed accordingly and split 80:20 as agreed.
(b)Partner Not GST Registered: Split shall apply on the pre-tax amount, and EI will handle GST compliance/remittance for client-side billing where applicable.
(c)Partner Composite Scheme: Split applies to non-GST portion only; EI remits GST collected from clients to government as applicable.
7.2TDS: EI may deduct applicable TDS as per the Income Tax Act and issue certificates as per law.
8 Reviews, Ratings & Delisting Policy
8.1The Partner acknowledges that platform performance is review-driven and client trust is critical.
8.2Automatic impact on sales: 3 negative reviews (complaints/poor feedback) may lead to reduced visibility or sales allocation.
8.3 Mandatory Delisting / Removal

EI shall have the right to immediately remove/delist the Partner from the platform, without liability, if:

· The Partner's average rating falls below 3.0 / 5, OR
· There are 3 or more reviews rated below 3 stars (or equivalent "negative reviews").

EI's decision on delisting for platform reputation protection shall be final, subject to basic record verification.
9 Client Disputes, Refunds & Liability
9.1Any dispute regarding shoot quality, experience, delay, missing deliverables, behaviour, or operations shall be solely the Partner's responsibility.
9.2If EI issues any refund, discount, or compensation to protect brand/platform goodwill due to Partner failure, the same shall be recovered from Partner's 80% share in the next payout(s).
9.3Partner shall indemnify EI against any consumer claims, legal notices, damages, or losses arising from Partner's execution failure.
10 Confidentiality & Platform Data
10.1Partner shall keep confidential all client data, booking details, EI platform data, pricing logic, and operational information.
10.2Partner shall not misuse client data for spamming, resale, or unauthorized marketing.
10.3Confidentiality obligations survive termination for 3 years (or longer if required by law).
11 Intellectual Property
11.1EI's platform, brand name, logo, app, systems, and templates remain EI's exclusive property.
11.2Partner's own studio assets, props, and equipment remain Partner's property.
11.3Client deliverables usage (portfolio/social media) shall be governed by client consent and applicable law; however, Partner must ensure no content is posted that creates brand complaints or violates privacy.
12 Term & Termination
12.1This MOU starts on the Effective Date and continues until terminated.
12.2Either Party may terminate with 30 days' written notice.
12.3EI may terminate immediately for: fraud, misuse of client data, major misconduct, repeated delays, review/rating breach, or harm to platform reputation.
12.4On termination, pending settlements will be processed after adjusting refunds, chargebacks, and claims.
13 Governing Law & Dispute Resolution
13.1This MOU is governed by the laws of Land.
13.2Disputes shall first be resolved amicably; failing which, arbitration in Mumbai under the Arbitration & Conciliation Act, 1996 shall apply. Courts at Mumbai have exclusive jurisdiction.
